Terms of Service

These terms govern your use of NDroad. The service is provided by LLC New Direction Road, a company registered in Georgia, referred to below as “we”. You, the company that registers and uses the system, are the “client”.

By registering you agree to these terms. If you do not agree, do not register. If you accept these terms on behalf of a company, you confirm that you are authorised to do so.

1. What the system does

NDroad is a work record system for construction companies: sites, daily reports with photographs, attendance, payroll and advances, fuel, equipment, materials, expenses, bills of quantities, and an audit journal. It is available through a web browser and an Android application.

We grant you the right to use the system for the duration of your subscription. The system itself, its code and its design remain ours.

2. Accounts, roles and responsibility

Whoever registers the company first becomes its director. The director adds everyone else and assigns a role: accountant, foreman, or worker. The role decides what each person can see. A foreman, for example, is not shown budget figures.

• Keeping passwords and PIN codes safe is your responsibility. Several people must not share one account, because the journal then cannot tell who did what.
• Anything done inside your account counts as done by you.
• When an employee leaves, you must revoke their access yourself. We have no way of knowing that they have left.
• If you suspect a stolen password or an unfamiliar login, tell us at once, through the channel you arranged your subscription through.

3. Your data is yours

Everything you enter into the system (sites, reports, photographs, payroll sheets, employee lists) remains yours. We process it only so that the system works: storing, displaying, calculating, printing, exporting, protecting and restoring it.

We do not sell your data and we do not show it to other companies. The system is multi-tenant, and one company cannot read another company’s records.

4. Acceptable use

You must not:

• break the law or infringe anyone’s rights through the system;
• attempt to access another account, bypass security controls, or attack or overload the system;
• resell, sublicense or otherwise give others access to the system or any part of it without our written consent;
• copy or decompile the code, or build a competing product from it;
• enter photographs or personal data about a person when you have no lawful basis to process information about them.

Automated access (bots, scripts, bulk downloading) requires our consent. Ordinary use of the product is not automated access.

5. Pricing and payment

We charge for features, not for people: the number of users, sites or workers does not change your bill. Current monthly prices:

New accounts include a 30 day trial from registration. After it, the subscription must be renewed for the system to accept new entries.

Payment is monthly, per company, in advance. Billing is currently by invoice, and no payment card is stored in the system. There is no automatic renewal, subscriptions are extended manually.

You can change plan at any time. Moving to a higher plan takes effect immediately. Moving to a lower plan switches off the features that plan does not include, but your data stays.

Time already paid for and used is not refundable. If the system is unavailable for a prolonged period through our fault, we add the lost days to your subscription.

6. When a subscription expires

After expiry the account becomes read only: you can still see and print everything, but you cannot add new entries. Nothing is deleted. Writing is restored as soon as the subscription is renewed.

If a subscription is not renewed for more than 12 months, we may delete the account and its data. We will send a warning to the account email at least 30 days beforehand so that you have time to export.

7. Availability

We aim to keep the system available at all times, but we do not offer a percentage uptime guarantee. Short interruptions may occur for maintenance, and we give advance notice of planned work where possible.

We take regular backups and periodically check that they actually restore. Even so, for records that matter (payroll sheets, acceptance documents) it is worth keeping your own copy, printed or downloaded to Excel.

The mobile application records without an internet connection and sends later. Before replacing a phone, make sure no unsent entries remain on it.

8. Changes

We keep developing the system: features are added and sometimes change. If a change materially reduces something you rely on, we will tell you in advance.

When these terms change, the new version is published on this page with a new date. For material changes we notify you by email or in the system at least 14 days beforehand. Continuing to use the system after a change takes effect means you accept the new version. If you do not accept it, you may end your subscription.

Price changes are announced at least 30 days in advance and never apply to a period already paid for.

9. Termination

You may stop at any time by not renewing, or by writing to us. The period you have already paid for runs to its end.

We may restrict or terminate an account if clause 4 is breached, or if a subscription remains unpaid. Except for serious breaches such as an attack on the system, we will first warn you and give you time to put things right.

For 30 days after termination we will, on request, provide your data in a machine readable format.

10. Limitation of liability

The system is a tool. What you enter, what you approve and what you pay are your decisions. Its calculations (payroll, quantities, costs) are based on the figures you enter, so a figure entered wrongly gives a wrong result.

We are not liable for indirect loss: expected profit, lost contracts, or reputation. Our total liability for any claim is limited to the amount you actually paid us in the preceding 6 months.

These limits do not apply to intentional acts, gross negligence, or anything the law does not permit us to limit.

11. Confidentiality, both ways

Your commercial information (contract values, bills of quantities, wages) is confidential to us. Our technical and security information, which you may learn during support, is likewise confidential to you.

12. Governing law and disputes

These terms are governed by the law of Georgia. We will try to settle any dispute by negotiation first. If that fails, the courts of Georgia have jurisdiction.

This document exists in Georgian and English. In case of any inconsistency, the Georgian version prevails.

If any clause is found invalid, the rest of the document stays in force.
